General Terms and Conditions of Wellington Living
Definitions and Scope
1.1 In these General Terms and Conditions, the following definitions apply:
Offer: The products offered through the intermediary.
Intermediary: Wellington Living.
Order: The product ordered by the buyer, for which a contract has been established.
Withdrawal Period: The timeframe during which the consumer may exercise the right of withdrawal.
Consumer: The individual acting for non-commercial purposes, entering into a remote contract with the intermediary.
Dropshipping: The process in which the buyer places an order via the website, and the intermediary—acting with authorisation—facilitates a contract between the buyer and the supplier. Payment is processed via the intermediary, and the product is shipped directly by the supplier to the buyer.
Form: The standard withdrawal form provided by the supplier, which the consumer may use to exercise the right of withdrawal, as included in the appendix to these terms.
Right of Withdrawal: The consumer’s option to cancel the agreement within the specified withdrawal period.
Buyer: The individual or entity entering into a purchase agreement via the intermediary.
Supplier: The party supplying the product.
Agreement: A remotely concluded agreement between buyer and supplier, facilitated by the intermediary.
Product: An item offered via the supplier’s website under a dropshipping arrangement.
Written: Any form of digital communication stored on a durable medium, as determined by the intermediary.
General Terms and Conditions: These terms and conditions established by Wellington Living as intermediary.
1.2 These terms apply to all offers made by the intermediary, all orders, and all agreements concluded via the intermediary, including any amendments or subsequent agreements.
1.3 The applicability of the buyer's own general or purchasing terms is explicitly rejected.
1.4 Articles 11.5, 11.6, 12, 13, and 14 of these General Terms and Conditions apply solely to consumers.
1.5 If any provision in these General Terms and Conditions is deemed invalid or unenforceable, the remaining provisions shall remain in full force. The invalid clause will be replaced by a provision that reflects the original intent as closely as possible, as mutually agreed upon.
Dropshipping
2.1 Supplier details are available on the website.
2.2 If the supplier is located outside of Ireland, the ordered product will be registered under the buyer’s name. The buyer is responsible for any additional charges, including VAT, customs duties, and other governmental fees.
2.3 Unless otherwise stated, prices shown in the offer are exclusive of VAT, shipping, packaging, and other applicable charges.
2.4 Payment is made through the intermediary, who forwards payment to the supplier on behalf of the buyer.
2.5 The difference between the amount paid by the buyer and the amount remitted to the supplier constitutes the intermediary’s service fee.
Offer
3.1 Every offer from the intermediary is valid for a limited period—until stock runs out, the supplier discontinues the product, or the item becomes unavailable through the website.
3.2 Specific terms or conditions attached to an offer will be clearly stated.
3.3 All offers are non-binding. The intermediary reserves the right to amend offers at any time.
3.4 Each offer includes a comprehensive and accurate description of the product, enabling proper evaluation by the buyer. Product photos are intended to give a faithful representation, although exact colour accuracy cannot be guaranteed. Buyers should base their assessment on the product description and images provided.
3.5 All product illustrations and descriptions are indicative and do not entitle the buyer to compensation or contract termination in the event of minor deviations, unless the differences are so significant that the product is not as described.
3.6 Offers containing obvious typographical or visual errors—ones that a buyer could reasonably recognise—are non-binding. No rights can be derived from such mistakes.
Agreement
4.1 Subject to the provisions of Article 4.5, an agreement is established when the buyer accepts the offer and places an order under the conditions set out.
4.2 The agreement is conducted in English, unless Wellington Living provides the terms and communication in another language on the website. In that case, the buyer may conclude the agreement and communicate in that language.
4.3 If the buyer accepts the offer electronically, Wellington Living will confirm receipt of that acceptance without delay, thereby finalising the agreement. Until this confirmation is received, the buyer may terminate the agreement.
4.4 Wellington Living takes all appropriate technical and organisational measures to secure electronic data transfer and ensure a secure online environment, especially when the buyer is able to pay electronically.
4.5 Wellington Living may assess whether the buyer is able to meet payment obligations and collect any other relevant information to responsibly conclude the agreement. If there is a valid reason to withhold the agreement, Wellington Living may refuse the order or apply special conditions.
4.6 The buyer is responsible for providing all necessary information as reasonably required by Wellington Living in a timely manner. If this is not done, Wellington Living may suspend execution of the agreement and charge the buyer for any resulting costs.
4.7 Wellington Living is not liable for damages resulting from incorrect or incomplete information provided by the buyer, unless the intermediary knew or should have known about the inaccuracy.
Pricing
5.1 All prices are based on prevailing cost factors at the time of the agreement, including import/export duties, freight charges, insurance, and applicable taxes or levies. Any changes in these costs will be passed on to the buyer.
5.2 Prices are subject to typographical and printing errors. Wellington Living accepts no liability for the consequences of such errors and is not obliged to honour incorrect pricing.
5.3 Composite offers do not obligate Wellington Living to deliver part of the items at a proportional price.
Conformity and Warranty
6.1 Products supplied through Wellington Living conform to the contract, product specifications, reasonable expectations for usability, and applicable legal standards in force at the time of the agreement.
6.2 Some products may have a limited shelf life, which is clearly indicated. Buyers must take this into account to ensure product quality under the supplier's warranty.
6.3 Any defects or incorrect deliveries must be reported in writing within four (4) weeks of delivery. Products must be returned unused and in their original packaging.
6.4 The warranty period provided by Wellington Living matches that of the manufacturer. However, Wellington Living is not liable for the suitability of products for specific buyer needs, nor for any application advice given.
6.5 In case of a valid warranty claim, Wellington Living may choose to replace or repair the product. Replaced items must be returned by the buyer.
6.6 The warranty is void if:
1. The product has been altered or repaired by the buyer or a third party;
2. The product was misused or not handled in accordance with the given instructions;
3. The defect is caused by external regulations regarding materials used.
Delivery and Execution
7.1 Wellington Living handles all orders with the utmost care.
7.2 Delivery is made to the address provided by the buyer during the ordering process.
7.3 Once accepted, orders are processed and forwarded as soon as possible.
7.4 Stated delivery times are indicative and non-binding. For items shipped from outside Ireland, actual delivery may take longer depending on the supplier’s schedule.
7.5 If an order cannot be fulfilled or only partially fulfilled, the buyer will be notified within 30 days.
7.6 Unless otherwise agreed or unless partial delivery has no added value, Wellington Living may deliver in multiple shipments and invoice separately. A delay in delivery does not entitle the buyer to compensation.
7.7 Delivery times indicated on the website are for reference only.
7.8 Exceeding the delivery time does not entitle the buyer to cancel the agreement or claim damages, unless specifically agreed otherwise.
7.9 If the agreement is terminated under Article 7.5, Wellington Living will refund the payment within 14 days.
7.10 If an ordered item is unavailable, Wellington Living will offer a suitable alternative where possible. Buyers will be notified clearly and in a timely manner. Substitute products fall under the same right of withdrawal, and return shipping costs will be covered by Wellington Living.
7.11 Risk of damage or loss remains with Wellington Living until the order is delivered to the buyer or a designated representative, unless agreed otherwise. Accepting the goods without written remarks is considered proof that the packaging was intact upon delivery.
Payment
8.1 Unless agreed otherwise, payment is due immediately upon placing the order.
8.2 Buyers must report any payment detail inaccuracies to Wellington Living without delay.
8.3 Failure to pay on time may result in interest charges—statutory interest for consumers and statutory commercial interest for non-consumers. Additionally, Wellington Living is entitled to charge collection costs in accordance with legal provisions regarding extrajudicial recovery.
Force Majeure
10.1 Wellington Living shall not be held liable for any failure to meet contractual obligations resulting from force majeure. This includes, but is not limited to:
1. Force majeure affecting the supplier
2. Government-imposed restrictions or measures
3. Power outages
4. Disruptions to internet, data networks, or telecommunications caused by events such as cybercrime or hacking
5. Natural disasters
6. War or acts of terrorism
7. Widespread transport disruptions or limitations
8. Strikes by suppliers or logistics providers
9. Any other situation beyond Wellington Living’s reasonable control that temporarily or 10. permanently impedes performance
10.2 During any period of force majeure, the obligations of Wellington Living will be suspended. If the force majeure situation persists for more than two months, either party may terminate the agreement without the right to compensation.
10.3 If Wellington Living has already partially fulfilled its contractual obligations, or can still fulfil part of them during the force majeure situation, and this part has independent value, it may issue a separate invoice for that portion. The buyer is obligated to pay this invoice as if it were a separate agreement.
Data Protection
11.1 The buyer’s (personal) data is stored in a secure database and used primarily to process and fulfil the order. With the buyer’s consent, Wellington Living may also send relevant product information, offers, or newsletters. The buyer may opt out of direct marketing at any time by notifying Wellington Living.
11.2 The buyer agrees to electronic communication and acknowledges that, despite reasonable security efforts, such communication may be intercepted, delayed, or compromised. Wellington Living cannot guarantee complete protection against unauthorised access.
11.3 Wellington Living will take reasonable steps to protect the confidentiality and secure storage of all (personal) data.
11.4 In order to fulfil the contract, personal data may be transferred outside the European Union—for example, to a supplier in China. In such cases, Wellington Living will apply contractual safeguards to ensure data protection.
11.5 Consumers have the right to request access to, correction, or deletion of their personal data. Requests should be submitted in writing to the management of Wellington Living. Upon request, stored data will be provided, amended, or removed accordingly.
11.6 Wellington Living will not share personal data of consumers with third parties unless legally required or necessary for executing the contract.
Consumers
12.1 Prices shown to consumers include VAT, applicable taxes, and shipping costs.
12.2 Prior to concluding a contract, consumers will be given access to the general terms and conditions in a format that allows them to be saved on a durable medium. If that is not reasonably possible, the website will clearly indicate how the terms can be accessed, and a free copy will be made available upon request.
12.3 Wellington Living will ensure that the following information is available on the website or can be stored on a durable medium:
1. Complaint procedures
2. The right of withdrawal and how to exercise it, or a clear statement if it is excluded
3. Warranty information and customer service contact details
4. A standard withdrawal form
12.4 Consumers may exercise any legal rights they have in relation to the supplier via Wellington Living, provided this is consistent with these terms and conditions.
12.5 Any additional warranty provided by Wellington Living or the supplier does not affect the consumer’s statutory rights under applicable law.
12.6 In accordance with Article 7.5, if a product cannot be delivered or delivered within a reasonable time, a consumer may cancel the agreement free of charge.
12.7 Wellington Living may deviate from Article 8.3 when applying collection costs to consumers.
Right of Withdrawal
13.1 Consumers may withdraw from the contract within 14 days of receiving the product, without stating a reason. The withdrawal period begins the day after the consumer or their designated representative receives the order.
13.2 During this period, the consumer must handle the product and packaging with care. The product may only be opened or used to the extent necessary to determine whether the consumer wishes to keep it. If the consumer exercises the right of withdrawal, the product must be returned with all accessories, in its original condition and packaging, and in accordance with any reasonable instructions provided.
13.3 To invoke the right of withdrawal, the consumer must notify Wellington Living within 14 days of receipt using the standard withdrawal form. The consumer must then return the item within the following 14 days and provide proof of timely return.
13.4 If the consumer fails to notify or return the product within the specified timeframes, the purchase becomes final.
Exclusions from the right of withdrawal include:
a) Products of a clearly personal nature
b) Products that, due to their nature, cannot be returned
c) Perishable or short shelf-life items
d) Items subject to market fluctuations beyond Wellington Living’s control
e) Audio/video recordings or software with broken seals
f) Sealed items not suitable for return due to health or hygiene reasons once opened
g) Custom-made products tailored to the consumer’s specifications
Costs of Withdrawal
14.1 When a consumer exercises their right of withdrawal, they are responsible for the return shipping costs.
14.2 If a consumer has already made a payment, Wellington Living will issue a refund as soon as possible, and no later than 14 days after receiving the withdrawal request. Refunds will be made using the same payment method originally used, unless the consumer agrees to another method and Wellington Living accepts it. Refunds are conditional upon receipt of the returned product or sufficient proof of its return.
14.3 If the product is damaged due to improper handling by the consumer, the consumer may be held liable for any resulting decrease in value.
Complaints and Disputes
15.1 Complaints must be submitted to Wellington Living in writing.
15.2 Filing a complaint does not suspend either party’s obligations, unless confirmed otherwise in writing by Wellington Living.
15.3 Any complaints regarding the execution of the contract must be submitted in writing, with justification, within seven (7) days after discovering the issue.
15.4 Wellington Living will respond to complaints within 14 days of receipt. If a complaint requires more time, the consumer will be informed of the expected timeframe within the same period.
15.5 Wellington Living has at least four (4) weeks to resolve complaints amicably. If no resolution is achieved within this timeframe, the matter is considered a formal dispute in accordance with Article 15.8.
15.6 If a complaint is deemed valid, Wellington Living may, at its discretion, repair or replace the product free of charge. If the issue cannot be resolved amicably, it will be treated as a dispute.
15.7 Consumers may also submit disputes via the European ODR Platform: https://ec.europa.eu/consumers/odr.
15.8 All disputes arising from or related to the contract shall be governed exclusively by Irish law and fall under the jurisdiction of the competent Irish courts, unless mandatory legal provisions stipulate otherwise.
15.9 The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
